Creator Agreement

2.1 Stripe Connect Account

To receive payments through Matlinks, you must create and maintain a Stripe Connect Express account. By doing so, you agree to:

• Stripe's Connected Account Agreement
• Stripe's Terms of Service
• Applicable banking and financial regulations in your jurisdiction

Matlinks is not responsible for Stripe's services, and disputes with Stripe must be resolved directly with them.

2.2 Payment Flow

When a customer purchases your product or service:

• Payment is processed by Stripe
• Matlinks deducts an application fee (platform fee)
• The remaining amount is transferred to your Stripe account
• Stripe then transfers funds to your bank account per your payout schedule

2.3 Payout Timing

3.1 Coach Services

• Community Subscriptions: 10% of subscription amount
• Courses (Purchase/Rental): 10% of sale price
• Private Lessons: 8% of lesson fee
• Video Feedback: 8% of feedback fee
• Seminars: 8% of ticket price
• Merchandise: 6% of sale price

3.2 Gym Services

• Gym Memberships: 6% of membership fee
• Day Passes / Pass Packs: 5% of pass price
• Gym Merchandise: 5% of sale price
• Seminar Hosting: platform fee paid by coach
• Private Lessons (at gym): Revenue share as configured

3.3 Additional Fees

• Stripe Processing: ~2.9% + $0.30 per transaction (charged by Stripe, not Matlinks)
• Currency Conversion: Subject to Stripe's FX rates if applicable
• Chargebacks: You are responsible for chargeback fees (typically $15 USD)

4.1 Content and Service Quality

You agree to:

• Provide accurate descriptions of all products and services
• Deliver services as described and in a timely manner
• Maintain professional conduct in all interactions
• Respond to customer inquiries within 48 hours
• Honor all bookings, enrollments, and purchases

4.2 Legal Compliance

You are solely responsible for:

• Complying with all applicable laws and regulations in your jurisdiction
• Maintaining required business licenses, permits, and insurance
• Collecting and remitting applicable taxes (sales tax, VAT, HST, etc.)
• Reporting income and filing required tax forms (1099-K, T5018, etc.)
• Ensuring you have the right to sell/license any content you offer

4.3 Insurance

For in-person services (private lessons, seminars, gym access), you are strongly encouraged to maintain:

• General liability insurance
• Professional liability / E&O insurance
• Appropriate coverage for physical training activities

Matlinks does not provide insurance coverage for Creators or their activities.

5.1 Your Content

You retain ownership of all content you create and upload to Matlinks, including but not limited to: course videos, community posts, profile information, and marketing materials.

5.2 License to Matlinks

By uploading content, you grant Matlinks a worldwide, non-exclusive, royalty-free license to:

• Host, store, and deliver your content to purchasers
• Display previews and promotional excerpts
• Use your name, likeness, and content for platform marketing
• Create derivative works for platform features (thumbnails, previews)

This license terminates when you remove your content or close your account, except for content already delivered to purchasers.

5.3 Customer Access Rights

When customers purchase your content:

• Lifetime purchases: Customer receives perpetual access
• Rentals: Customer receives time-limited access as specified
• Subscriptions: Customer receives access while subscription is active

You may not revoke access to content that has been legitimately purchased.

6.1 Your Refund Policy

You must clearly communicate your refund and cancellation policies to customers. At minimum, you must honor:

• Refunds for services not delivered as described
• Refunds required by applicable consumer protection laws
• Cancellation rights as specified in your listings

6.2 Chargebacks and Disputes

If a customer files a chargeback or payment dispute:

• You are responsible for responding to the dispute
• You bear chargeback fees regardless of outcome
• Excessive chargebacks (>1% of transactions) may result in account suspension
• Matlinks may temporarily hold payouts during dispute resolution

6.3 Platform Intervention

Matlinks reserves the right to issue refunds on your behalf in cases of:

• Clear violation of your stated policies
• Failure to deliver purchased services
• Fraudulent or deceptive practices
• Legal requirements

8.1 Voluntary Termination

You may close your Creator account at any time. Upon closure:

• Active subscriptions will continue until their current period ends
• Customers with lifetime access retain access to purchased content
• Pending payouts will be processed per normal schedule
• You remain responsible for outstanding refund obligations

8.2 Termination by Matlinks

We may suspend or terminate your Creator account for:

• Violation of this Agreement or Terms of Service
• Excessive chargebacks or disputes
• Fraudulent activity
• Extended inactivity (12+ months with no activity)
• Legal requirements
