Terms of Service

1. Agreement to Terms

By accessing or using Matlinks ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Matlinks. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 13 years old, or the age of majority in your jurisdiction (whichever is greater), to use this Service. By creating an account, you represent and warrant that:

• You meet the age requirements stated above
• You have the legal capacity to enter into a binding contract
• All information you provide is accurate and complete
• You will maintain the accuracy of your account information

3. Account Registration and Security

Account Creation: You may register using email/password or third-party authentication (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials.

Account Security: You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

Account Termination: You may cancel your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content and Conduct

Content Ownership: You retain ownership of any content you create or upload to the Service ("User Content"). By posting User Content, you grant Matlinks a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content within the Service.

Prohibited Conduct: You agree not to:

• Post illegal, harmful, threatening, abusive, or offensive content
• Infringe on intellectual property rights of others
• Impersonate others or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service
• Use automated systems to access the Service without permission
• Interfere with or disrupt the Service or servers

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

5. Subscriptions, Payments, and Refunds

Free and Paid Services: Matlinks offers both free and paid subscription tiers. Pricing is displayed before purchase and may change with notice.

Payment Processing: Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.

Refund Policy: All sales are final. We do not offer refunds for unused subscription time, except where required by law. If you believe you were charged in error, contact us at support@matlinks.io.

6. Coach and Gym Services

Marketplace: Matlinks provides a platform connecting coaches/gyms with students. We are not responsible for the quality, safety, or legality of services provided by coaches or gyms.

Coach Obligations: Coaches must provide accurate information, deliver services as described, and comply with all applicable laws and regulations.

Platform Fees: Matlinks charges a platform fee on transactions. Fee structure is disclosed during the coach/gym onboarding process.

7. Intellectual Property

All content on the Service, excluding User Content, is owned by Matlinks and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

"Matlinks" and related logos are trademarks of Matlinks. You may not use our trademarks without prior written permission.

8. Disclaimers and Limitation of Liability

AS-IS BASIS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

PHYSICAL ACTIVITY WARNING: Brazilian Jiu-Jitsu and martial arts training involve physical activity and inherent risks. You assume all risks of injury. Consult a physician before beginning any training program.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATLINKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Matlinks, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

10. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You waive the right to a jury trial or to participate in a class action.

Informal Resolution: Before pursuing arbitration, you agree to first contact us at support@matlinks.io to attempt to resolve the dispute informally.

11. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matlinks.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
